The antitrust waiting period on onsemi's purchase of Synaptics ended 26 days after it began, and the companies still expect to wait until mid-2027 to close

The antitrust review is over.

The Federal Trade Commission granted early termination of the Hart-Scott-Rodino waiting period on onsemi's purchase of Synaptics on 12 August, according to a Form 8-K that ON Semiconductor Corporation filed at 06:01 Eastern on Thursday. The two companies had filed their notifications on 17 July. Twenty six days separate the dates.

What did not move is the closing date. The filing states that the parties "continue to expect the Merger to close in mid-2027", which is roughly ten months after the clearance they have just received.

What is still outstanding

Three things, on the filing's own account. Synaptics stockholders have to approve the deal. Certain other regulatory approvals or clearances have to arrive. And the remaining customary conditions in the merger agreement have to be satisfied or waived.

The agreement itself dates from 25 June 2026. Sonic Acquisition Corp, a Delaware company wholly owned by onsemi, merges into Synaptics, and Synaptics survives the merger as an onsemi subsidiary.

What the filing does not contain

A price. Consideration appears nowhere in the document, which runs to one substantive item and no exhibits.

Nor is there a registration statement to read yet. The filing points Synaptics stockholders at a Form S-4 "when it becomes available" and at a proxy statement and prospectus that will be filed with the Securities and Exchange Commission, so the document carrying the terms is described in the future tense. The 8-K is a written communication under Rule 425 and is signed by Paul Dutton, onsemi's senior vice president, chief legal officer and secretary.
