Micron Technology, Form 8-K

Micron has appointed two presidents on one morning, and the executive who ran the customer side becomes an adviser to the chief executive

Two presidents. Both appointed on the same morning, at the same company.

Micron Technology filed a Form 8-K at 08:06 on Wednesday, before the market opened, saying that Manish Bhatia, 54, its executive vice president for global operations, has been appointed president and chief operating officer, and that Dr Scott DeBoer, 60, its executive vice president and chief technology and products officer, has been appointed president and chief technology and products officer. Both appointments take effect immediately. Sanjay Mehrotra remains chairman and chief executive.

The third name

A third move sits in the same item, in a single sentence and without elaboration. Sumit Sadana, the executive vice president and chief business officer, "has transitioned from his role" to that of senior adviser to the chief executive.

The filing names no successor as chief business officer. It gives no date, no terms and no reason, and the press release attached to it adds only that Mehrotra thanks Sadana for deepening customer partnerships and for helping shape the strategy. What the release does describe is the shape of Bhatia's new job, which now covers the business units as well as operations, with accountability for the operating profit and loss "spanning capital investment, manufacturing execution, and customer demand, pricing and delivery". The last three of those are the commercial side of a memory maker.

What the item rules out

Item 5.02 comes with a standard set of negatives, and this one carries all of them. No family relationships. No transaction requiring disclosure under Item 404(a) of Regulation S-K. No arrangement or understanding with any other person under which either man was selected.

Then one more, worth reading twice: "There are no changes to the compensation arrangements for either Mr. Bhatia or Dr. DeBoer at this time." Two executives have been handed larger jobs on the same pay terms, for now.

DeBoer joined Micron in 1995, and the release credits him with leading the development and delivery of 15 technology nodes. Bhatia joined in 2017. Michael Ray, the chief legal officer, signed the filing.
