Amrize changed chief financial officer with immediate effect on Monday, and the man taking the job is the one who ran its deals

The executive who bought things for Amrize now signs for them.
The company told the Securities and Exchange Commission on Monday afternoon that its board had appointed Samuel J. Poletti chief financial officer, effective the same day. He succeeds Baris Oran, who is stepping down from the role. The 8-K gives no reason for the change and does not say whether Oran stays with the company.
Poletti, 45, has been Amrize's chief strategy and M&A officer since it was separated from Holcim in June 2025, fourteen months ago. Before that he ran Holcim's global M&A function from 2018, and earlier held roles including head of strategy and business development for South Asia.
The filing does not name a successor in the strategy job.
Two agreements, signed the same day
An employment agreement with the Swiss parent and an international assignment agreement posting him to Amrize North America were both dated and made effective on 24 August. Where the two conflict, the assignment agreement wins.
The employment agreement has no fixed term. Either side may end it on twelve months' written notice, and the notice runs both ways. The assignment is expected to run five years, to 23 August 2031.
Terms
Base salary is $725,000. The bonus target is 100 percent of salary and the maximum is 200 percent, so the cash range is $725,000 to $2.175m. The assignment adds a car allowance of $29,000 a year, a housing allowance of $100,000 a year, relocation and repatriation benefits, and tax advice.
He also receives extra performance stock units for the 2026 cycle worth $860,000 at grant, on the same terms and the same vesting as the awards made to him and to comparable executives in February 2026.
What is not in them
Neither agreement carries a termination payment or a change-of-control payment. The filing states that plainly rather than leaving it to be inferred from silence.
He is bound by non-competition, non-solicitation and confidentiality covenants. Amrize is incorporated in Switzerland and its ordinary shares trade in New York as AMRZ. The employment agreement, the assignment agreement and a press release are all attached as exhibits.
