GEE Group says its audit committee is examining an undisclosed employment agreement with the CEO's daughter

GEE Group's audit committee is conducting an independent inquiry into a 2023 employment agreement with Allison Dewan, the daughter of chair and chief executive Derek Dewan, the company said in a Monday filing.

The agreement and its terms had not appeared in the company's earlier SEC filings, according to GEE Group. The committee is examining its origin, authorization, disclosure controls and possible treatment as a related-party transaction.

No finding is announced.

The five-year agreement names Allison Dewan as vice president of corporate development and runs through April 2028. It began with a $110,000 salary and includes possible bonuses, equity awards and other benefits. GEE Group said the annual or annualized value of compensation paid or payable under it exceeded $120,000 in every fiscal year since it began.
