Schneider Electric agrees to buy PTC for $22.6bn in cash

Schneider Electric agreed to buy industrial-software maker PTC for $205 a share in cash, valuing its equity at about $22.6bn and the company at $23.7bn including debt.
The boards approved the agreement. It is not closed.
PTC shareholders holding a majority of outstanding shares must approve it, and the parties still need antitrust and foreign-investment clearances. The companies expect completion by the third quarter of 2027.
Schneider plans to fund the price with roughly €5bn to €6bn of new equity and €16bn to €17bn of new debt. It expects €250m of annual cost savings by the third year, but those savings are a company forecast rather than a condition of the deal.
