USA Rare Earth closes the Serra Verde combination with $300m cash and 126.8m shares

Serra Verde's Brazilian rare earth operation now sits inside USA Rare Earth's platform. The company completed the combination on Thursday, paying $300m in cash and issuing 126,849,307 shares, according to a Form 8-K filed Friday.

The deal adds Serra Verde's rare earth mining and processing operation in Goiás, Brazil. The company says the first stage of its optimization program is expected to reach about 4,000 metric tons a year of total rare earth oxide production by year-end. A second stage targets 6,400 metric tons a year, with commissioning expected within twelve months.

The leadership changes are set.

Thras Moraitis, Serra Verde's former chief executive, joined the USA Rare Earth board and will replace Barbara Humpton as chief executive on October 1.
