Sangamo Therapeutics completed the sale of its ST-920 Fabry disease gene therapy assets to PTC Therapeutics, according to a Form 8-K filed Monday afternoon. PTC paid $111m in cash at closing and may pay up to another $100m if specified milestones are met.
The sale is complete. PTC was selected at an August 10 court-supervised auction, and the Delaware bankruptcy court approved the deal September 2. Sangamo, which filed for Chapter 11 on June 23, closed the transaction September 17.
The assets center on isaralgagene civaparvovec, also called ST-920, a one-time gene therapy candidate for Fabry disease. PTC also assumed specified liabilities. Sangamo's stock was suspended from Nasdaq in May, trades on the OTCID Basic Market as SGMOQ and is scheduled for delisting September 27.
The filing warns that the shares are highly speculative and may bear little or no relationship to any recovery in the bankruptcy case.
