Rivian's chief financial officer is leaving on 30 October, and the company is going outside as well as inside to replace her

Claire McDonough has been Rivian's chief financial officer since January 2021, which is to say since before the company was public. She notified the company on 24 August that she is leaving.

Her last day is 30 October. In the Form 8-K filed at five minutes past four on Thursday afternoon, the company says she is resigning to pursue a new opportunity and to relocate to the East Coast to be closer to her family, that the resignation is not the result of any disagreement over financial reporting, operations, policies or practices, and that she stays in the role through the effective date to hand over.

Derek Mulvey, currently vice president of finance, is expected to become interim chief financial officer when she goes. He joined in 2021 and was a vice president at J. P. Morgan before that.

The word doing the work is interim

A search is running. The filing says it covers both internal and external candidates, and it does not say when it will conclude.

That is an ordinary sentence in an ordinary succession disclosure, and it still tells you something. A company that had a successor ready would name one. This one is naming a caretaker from the finance department for a period it has not bounded, two months before the seat is empty.

What she was hired to do, on the company's own account

The press release attached as Exhibit 99.1 puts her tenure around the capital. She arrived in January 2021, and in November of that year the company executed an initial public offering the release puts at $13.7bn, raising the money to scale manufacturing at Normal, Illinois. Everything after that is described in terms of capital frameworks, cost reduction toward long term gross margin targets, and the structuring of strategic partnerships.

That is the company's characterisation of its own officer, and it is worth reading as such rather than as an independent assessment. It is also a fair description of what the job has been. Rivian has spent five years converting raised capital into built vehicles, and the next stretch of it, the ramp of the smaller R2, is still ahead.

The no-disagreement sentence and what it is worth

Departure filings almost always carry a line saying the officer did not leave over a dispute, and this one does. It is the company speaking about itself. It is not a finding, not an audit conclusion, and not a statement by the departing officer.

That does not make it empty. The company has now put on the record, in a document filed under the securities laws, that there was no disagreement on financial reporting, operations, policies or practices. A statement of that kind costs nothing to make and something to be wrong about, which is most of its value to a reader.
