Mercury General has announced the death of its founder at 104, and one sentence in the announcement moves a 35.3 percent block of the company

George Joseph sold his first insurance policy in 1962 and was still chairman of the company that wrote it.

Mercury General Corporation told the Securities and Exchange Commission at 16:05 on Wednesday that its founder had died at the age of 104. The filing is an Item 7.01 disclosure with the announcement attached, and most of the announcement is a life. Beckley, West Virginia, in the Depression, the son of Lebanese immigrants. Fifty missions as a B-17 navigator. Harvard on the GI Bill, mathematics and physics, 1949. Then a small California insurer with six employees and 90 agents, a public offering in 1985, a New York listing in 1996, written premiums past $1bn in 1997 and past $3bn in 2006, and 45 years as chief executive, through 2006.

Two sentences in it are corporate, and they are the reason this is a filing rather than an obituary.

The block

The company's most recent proxy statement, filed on 31 March, reports beneficial ownership as of that date. George Joseph held 19,567,934 shares, or 35.3 percent of the stock outstanding. Every director and executive officer as a group held 19,686,029, or 35.5 percent, which is to say that almost all of it was his.

The release says that his wife, Vicky Joseph, has assumed ownership of his Mercury General stock. It gives that in one sentence and adds only that she was elected to the board in 2021.

She appears in the same proxy table as Vicky Wai Yee Joseph, a director aged 74, holding 5,924 shares. Neither document says how the stock passed, and no trust, estate or arrangement of any kind is described in either. What the two documents together establish is narrower and still worth stating: the largest single holding in a New York Stock Exchange listed insurer, more than three times the size of the next named holder, is now recorded against a different name.

The next names are worth reading for scale. Gloria Joseph held 9,160,000 shares, or 16.5 percent, under a 1985 agreement with the company that split jointly held stock into separate and independent control. BlackRock held 7.3 percent. Vanguard held 5.8 percent.

The chair

The board has appointed Gabriel Tirador chairman, effective immediately. He remains chief executive, a job he has held since 2007, which was the year after the founder stopped doing it.

So the two roles have been held by different people for nineteen years and are now held by one. Martha E. Marcon continues as lead independent director and is the person the release quotes on the appointment, saying it reflects "the continuity George valued".

Victor Joseph, the founder's son, is 39 and has been president and chief operating officer since January 2024. He joined the board the same year. The release names him, describes his progression through the company since 2009, and stops there.

The proxy listed nine directors in March, one of whom was the chairman. Neither document names a replacement for him on the board.
