Intel announced a $15bn share sale and priced $20bn, and the filing that landed at five past four on Wednesday says the underwriters took the rest as well

Twenty three billion dollars.

That is the size of Intel's share sale once the underwriters' option is counted, and the only document that says the option was taken is the Form 8-K the company filed at 16:05 Eastern on Wednesday.

The sequence runs across three days and three numbers. On 10 August Intel announced a $15bn offering of common stock. Later the same day it priced one of $20bn, selling 210,526,315 shares at $95. On 11 August the underwriters exercised their option over a further 31,578,947 shares. Nobody published a release about that last step, and it appears only in item 8.01 of Wednesday's filing, one sentence long: "On August 11, 2026, the Underwriters exercised the option in full."

The arithmetic

Add the two blocks and Intel has sold 242,105,262 shares. At the offer price of $95 that is $22,999,999,890.

Intel had 5,044,000,000 shares outstanding on 17 July, according to the cover page of the quarterly report it filed on 24 July. The new shares are 4.8 percent of that count.

The option itself did not change shape, only size. The launch release described it as up to $2.25bn of additional shares, which is 15 percent of a $15bn deal. The pricing release put it at 31,578,947 shares, which at $95 is $3.0bn, and 15 percent of a $20bn deal.

What the company says the money is for

Both releases give the same answer: general corporate purposes, which may include capital expenditures and working capital. The launch release carries a heading reading "Why Now" and attributes the timing to customer demand signals and investment in AI compute. Intel also said the offering was intended to let it pursue growth while keeping an investment-grade rating.

One figure in the public record is now stale. The pricing release put net proceeds at approximately $19.7bn, and stated in the same sentence that the figure assumes the underwriters do not exercise their option. They did. Wednesday's filing does not give a replacement number.

J.P. Morgan Securities, Goldman Sachs, Morgan Stanley and Citigroup Global Markets acted as representatives of the underwriters. The offering was expected to close on Wednesday.
