Healthcare Services Group bought NEXDINE Hospitality for approximately $93.5m in cash, according to a Form 8-K filed Wednesday. The price remains subject to customary adjustments, and additional consideration may be paid if the acquired business meets performance conditions.

Cash on hand funded the purchase.

NEXDINE manages dining and hospitality services, with a concentration in senior living. Healthcare Services Group said the business is expected to contribute more than $150m in annual revenue.

The acquired operation will remain based in Mansfield, Massachusetts, and will keep the NEXDINE name. Founder and chief executive David Lanci will continue to lead it as a wholly owned subsidiary.
