GameStop will pay $358.4m in cash rather than issue more of its own stock, and the change caps the number of shares its convertible exchange can produce

55.5 million shares, and $358.4m in cash. That is what holders of roughly $1.4bn of GameStop convertible notes will now receive, and until Monday morning the cash half of that sentence did not exist.

The exchange was agreed on 2 August. Holders of about $400m of the 0.00 percent notes due 2030 and about $1.0bn of the 0.00 percent notes due 2032 agreed to hand them back and take stock. How much stock was left open. The number was to be set in part by the volume-weighted average price of the shares over a reference period of 35 trading days that started on 3 August, which meant that on the morning of 31 August the count was still being written by the market.

The reference period was cut off

The amendments filed at 6.23 on Monday terminate the remainder of that period. Consideration attributable to the days already elapsed is settled in shares. The rest is settled in cash, at trading prices on the last trading day before the amendments.

That produces the split in the first line, 73 percent in shares and 27 percent in cash. The company states plainly what the money buys: the total number of shares issuable in respect of the exchange is fixed, and no additional shares are issuable.

The cash comes from the balance sheet. Closing is expected on or about 3 September, and after it about $1.1bn of the 2030 notes and $1.7bn of the 2032 notes remain outstanding, roughly $2.8bn against the $4.2bn originally issued.

The filing gives no reason for the change, and none is inferred here.

The quarter, in ranges

GameStop published preliminary and unaudited second quarter figures in the same filing, because the exchange documents needed them. Net sales for the 13 weeks to 1 August are put at $780m to $800m, against $972.2m a year earlier, a fall of between 17.7 and 19.8 percent. The company attributes that primarily to the prior-year launch of the Nintendo Switch 2, to planned store closures, and to the sale of its France operations.

Operating income is put at $150m to $170m, against $66.4m. Net income is put at $290m to $310m, against $168.6m.

Net income is larger than operating income, and the release says where the difference sits. About $238m of it is net gains on the eBay derivative asset and on the equity investment that position was converted into during the quarter, offset by a loss of about $75m on digital assets and related receivables.

The eBay line

Cash, equivalents and marketable securities are put at $5.050bn to $5.070bn, against $8.694bn a year earlier. The company says the conversion of the eBay derivative position into a direct equity holding is what moved that number, and that at 1 August it held about 43.4 million eBay shares worth about $4.947bn.

The list of risk factors in the release includes the company's ability to complete its proposed acquisition of eBay. GameStop has been filing merger communications on Form 425 with eBay as the subject company since May, and in the transcript excerpt filed on 7 July, Ryan Cohen, the chairman and chief executive, says the company proposed in May to acquire eBay at $125 per share.

So a company with a bid outstanding for another company chose, on Monday, to spend $358.4m of cash rather than print more of its own shares.

Full second quarter results are due on 8 September.
