Constellation buys SpikedAde for $75m plus up to $278m contingent
The closing payment was $75m.
Constellation Brands acquired SpikedAde on Tuesday and took 100 percent ownership of the ready-to-drink alcohol business, according to an SEC exhibit.
More may follow. The agreement provides for up to $278m of contingent consideration over five years, based on the future performance of SpikedAde. That amount is not a guaranteed part of the upfront price.
The SpikedAde team will move into Constellation's beer division. Constellation will take over production oversight, marketing and distribution.
SpikedAde combines sports drink flavors with vodka in a zero-sugar, non-carbonated product. Constellation said the purchase does not change its fiscal 2027 outlook.
