Aon issues $13.5bn of notes to help fund USI acquisition
Aon issued $13.5bn of senior notes across seven tranches, with maturities running from 2029 to 2056.
Six tranches totaling $11.5bn are designated as USI acquisition notes in Thursday's Form 8-K. The seventh is $2bn of notes due in 2056.
The filing puts net proceeds at about $13.40bn. Aon intends to use them for general corporate purposes, including acquisition consideration, repayment or redemption of some USI debt and transaction costs, alongside a planned term loan and other liquidity.
The deal terms have a backstop. If the acquisition fails under the filing's stated conditions, the $11.5bn of acquisition notes must be redeemed at 101 percent of principal plus accrued interest. The 2056 notes are excluded.
