A NAFTA tribunal ruled against Mexico over Vulcan's shut-down Quintana Roo quarry, and Vulcan says the damages it won are negligible

Vulcan won the argument and not the money.

The tribunal hearing the company's North American Free Trade Agreement claim against Mexico issued its decision on Monday, and Vulcan Materials Company told investors the same day that the tribunal found Mexico in violation of NAFTA in several respects. In the next sentence of its own release, the company said the award of monetary damages for those violations was negligible.

Almost nothing else about the ruling is public. The decision remains confidential under the applicable rules until it is made publicly available, which means the breaches the tribunal identified, the reasoning behind them and the figure attached to the award are all still unread outside the parties. What exists on the record tonight is a company's characterisation of a document nobody else can check, filed with the Securities and Exchange Commission under Item 8.01.

The claim is older than most of the people covering it assume. Legacy Vulcan, LLC served Mexico with a notice of intent in September 2018, acting for itself and for Calizas Industriales del Carmen, S.A. de C.V., the Mexican subsidiary known as Calica, and filed its request for arbitration with the International Centre for Settlement of Investment Disputes that December. The centre registered the request in January 2019. A hearing on the merits took place in July 2021, and then the case stopped being only about zoning: on May 5, 2022, Mexican officials shut down Calica's remaining quarrying operations in Quintana Roo. Vulcan filed an ancillary claim over the shutdown, the tribunal ordered Mexico in July 2022 not to aggravate the dispute further, and the ancillary claim was heard in August 2023.

The company describes Mexico's conduct in strong terms and has done so consistently in its filings. Vulcan says Mexico repudiated a legally binding zoning agreement and shut its operations arbitrarily. Mexico's position is not stated in the release, and the tribunal's own account of what it found sits inside the confidential decision.

Three months ago Vulcan told shareholders it could not put a number on any of this. Its quarterly report for the period ended March 31, filed on April 29, said the company could not quantify the amount it might recover, if any, and expected a decision during 2026. That expectation was correct. The estimate of what it was worth is now the company's to explain.

The site of the dispute is not coming back either way. In September 2024 the president of Mexico signed a decree declaring the entirety of Calica's properties a natural protected area, and the decree prohibits the extraction of construction materials from them.

Vulcan reports second quarter results on Wednesday morning.
